SimPro™ Terms & Conditions

1. Use of the Services

SimPro provides AI-driven diagnostic analysis of marketing funnels. You may use the Services solely for lawful business purposes and in compliance with these Terms.

You agree not to:

• Use SimPro for unlawful, deceptive, or abusive activities
• Submit content you do not have the right to analyze
• Attempt to reverse engineer, copy, or exploit the platform
• Interfere with platform security, integrity, or performance

2. No Guarantees or Advice

SimPro provides diagnostic insights only.

SimPro does not:

• Guarantee advertising performance, conversions, or revenue
• Provide financial, legal, or marketing advice
• Guarantee results from any recommended changes

All decisions based on SimPro outputs are made at your own discretion and risk.

3. Accounts & Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities conducted under your account

SimPro reserves the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions & Billing

• SimPro is offered on a subscription basis
• Fees are billed in advance according to the selected plan
• Plan features, limits, and pricing may change with notice
• No refunds are provided for unused subscription periods unless required by law

5. Intellectual Property

All rights, title, and interest in SimPro, including:

• Software
• Algorithms
• Scoring frameworks
• Branding, trademarks, and design

are owned by Prevyr or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Services during an active subscription.

6. User Content

You retain ownership of any funnel URLs or content you submit. By using SimPro, you grant permission for automated analysis of that content solely to provide the Services.

7. Limitation of Liability

To the maximum extent permitted by law:

• SimPro and Prevyr are not liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the fees paid by you to SimPro in the twelve (12) months preceding the claim

8. Indemnification

You agree to indemnify and hold harmless SimPro and Prevyr from claims arising out of:

• Your use of the Services
• Violation of these Terms
• Content or data submitted through your account

9. Termination

SimPro may suspend or terminate access:

• For violations of these Terms
• For non-payment
• To protect platform security or integrity

You may cancel your subscription at any time.

10. Governing Law
